01

Preamble & Agreement to Terms

These Terms and Conditions (the “Terms”) constitute a legally binding commercial agreement between Future Source Solutions Company (referred to herein as “Future Source”, “we”, “us”, or “our”), registered in the Kingdom of Saudi Arabia, and any individual, corporate enterprise, contractor, or purchasing entity (the “Client”, “Buyer”, or “You”) accessing our web portals, requesting quotations, or executing procurement contracts for industrial machinery, occupational safety gear, lifting equipment, or hardware tools.

By accessing futuresourcetrading.com, submitting a Request for Quotation (RFQ), issuing a Purchase Order (PO), or accepting an official quotation, you expressly acknowledge and agree to be governed by these Terms, without modification or reservation.

Commercial Precedence: In the event of any conflict between these standard online terms and an individually executed, signed bilateral Supply Agreement between Future Source and a corporate client, the provisions of the signed bilateral contract shall prevail with respect to that specific transaction.
02

Corporate Eligibility & B2B Capacity

Future Source operates primarily as a business-to-business (B2B) industrial supplier serving engineering contractors, manufacturing facilities, oil and gas subcontractors, municipal projects, and giga-project developers across Saudi Arabia.

By engaging with Future Source, you warrant and represent that:

  • You are duly authorized to bind the legal commercial entity on whose behalf you are acting.
  • Your company possesses a valid Commercial Registration (CR) or appropriate operating license issued by a recognized governmental authority.
  • All corporate tax identification credentials (ZATCA VAT ID) and corporate details supplied during procurement onboarding are authentic, complete, and current.
03

Requests for Quotation (RFQ) & Pricing Validity

Product specifications, visual models, and equipment descriptions featured on our website represent an invitation to treat and do not constitute a unilateral binding offer to sell.

  • Quotation Generation: Formal contractual offers are provided via official, serialized Price Quotations or Proforma Invoices issued in writing by our sales engineering team in Jeddah, Jubail, or Duba.
  • Price Validity Period: Due to continuous fluctuations in international freight rates, raw metal commodities, and currency exchange indices, quotations remain valid strictly for the duration specified on the face of the quotation (typically 7 to 30 calendar days from the date of issue).
  • Value Added Tax (VAT): Unless explicitly designated otherwise in writing, all prices are subject to the standard 15% Value Added Tax (VAT) enforced by the Zakat, Tax and Customs Authority (ZATCA) in the Kingdom of Saudi Arabia.
  • Typographical Errors: In the rare event of an inadvertent technical or typographical pricing error in an automated online listing, Future Source reserves the right to decline or cancel any unconfirmed orders predicated upon the erroneous data before formal contract formation.
04

Purchase Orders, Contract Formation & Payment

A binding supply contract is formed exclusively upon the occurrence of one of the following events:

  1. Written issuance by the Buyer of an unconditioned Purchase Order (PO) referencing an active Future Source quotation number;
  2. Written countersignature and return of our official Proforma Invoice; or
  3. Receipt of the required advance deposit or confirmed Letter of Credit (LC) as specified in the agreed commercial terms.

Approved Payment Methods: All payments must be remitted in Saudi Riyals (SAR) via electronic corporate wire transfer directly to Future Source Solutions Company’s verified Saudi IBAN banking accounts, or via certified corporate manager’s cheque.

Retention of Title: Full legal title and proprietary ownership of all supplied equipment, machinery, and materials remain with Future Source Solutions Company until the invoice total, including applicable VAT and logistical disbursements, has been collected in full cleared funds.
05

Delivery Logistics, Site Gate Passes & Incoterms

Deliveries are coordinated under standard Incoterms® 2020 as agreed upon within each specific quotation (typically Delivered At Place - DAP to project job site, or Ex-Works - EXW from our regional warehouses):

  • Regional Hub Logistics:
    • Western Corridor: Dispatched from Aziziyah Central Hub, Jeddah, servicing Yanbu, Rabigh, and Makkah.
    • Eastern Corridor: Dispatched from Jubail Industrial City Hub, servicing Jubail 1 & 2, Dammam, and Ras Al-Khair.
    • Northern / NEOM Corridor: Dispatched from Duba Gateway Hub, providing fast-track delivery directly into NEOM, Oxagon, Sindalah, and Tabuk project sectors.
  • Job Site Permits & Access: The Buyer is solely responsible for arranging site gate passes, safety inductions, and security clearances required for our transport vehicles and drivers to access restricted industrial complexes or construction zones.
  • Offloading Equipment: Unless specifically contracted as crane-assisted offloading, the Buyer is responsible for providing suitable rigging equipment, forklifts, and personnel to safely offload heavy consignments immediately upon vehicle arrival.
  • Transfer of Risk: Risk of loss or damage to goods transfers to the Buyer upon physical handover at the designated delivery site or upon collection by the Buyer’s nominated freight carrier.
06

Inspection Window & Claims for Discrepancy

The Buyer has an affirmative duty to inspect all delivered goods immediately upon arrival at the project site:

  • Transit Damage & Shortages: Any visible external damage to shipping packaging, item count shortages, or transit defects must be endorsed directly upon the driver’s delivery note (POD) and notified in writing to Future Source within forty-eight (48) hours of delivery.
  • Conformity & Specifications: The Buyer must verify that supplied machinery model numbers, power ratings (e.g. 220V/380V), and safety harness sizes correspond exactly with the approved purchase order.
  • Deemed Acceptance: If no formal written discrepancy notice is received by Future Source within forty-eight (48) hours following physical delivery, the consignment shall be deemed irrevocably accepted in full compliance with the contract.
07

Manufacturer Warranties & Certified Safety Compliance

Future Source is committed to upholding the highest safety benchmarks in Saudi Arabia. All industrial tools and personal protective equipment (PPE) supplied by us comply with mandatory SASO standards, and applicable European (EN) and American (ANSI) engineering specifications:

Karam Safety Distributor Guarantee: As an authorized distributor of Karam occupational safety solutions, all full-body harnesses, energy-absorbing lanyards, and fall-arrest blocks carry authentic factory test certificates and standard manufacturer warranty against manufacturing defects (typically 12 months from invoice date).

Warranty Exclusions: Warranty coverage does not extend to defects or failures resulting from:

  • Normal wear and tear, cosmetic scratching, or abrasive degradation caused by standard site operation;
  • Unauthorized modifications, mechanical tampering, or servicing by uncertified technicians;
  • Failure to conduct mandatory pre-use safety inspections as outlined in equipment operating manuals; or
  • Exposure to corrosive chemicals, improper electrical voltage supply, or exceeding certified safe working loads (SWL).
08

Cancellations, Returns & Restocking Policies

Because industrial equipment and certified safety gear require strict batch traceability:

  • Standard Stocked Goods: Returns of standard, unused inventory items are accepted within fifteen (15) calendar days of invoice date, subject to prior written approval and a standard 15% restocking fee to cover warehouse inspection and recertification overhead.
  • Condition of Returned Goods: Items must be returned in their original, unblemished manufacturer packaging, with all technical manuals, serial tags, and test certificates intact, and must show zero signs of field installation.
  • Non-Returnable Items: Custom-cut wire ropes, specialized hoisting slings, custom-ordered machinery configurations, and personal protective equipment whose hygienic or tamper-evident seals have been broken cannot be returned or refunded.
09

Intellectual Property Rights

All proprietary trademarks, commercial insignia, logos, digital product renders, 3D representations, website source code, and original editorial content displayed across futuresourcetrading.com are the exclusive property of Future Source Solutions Company.

Trademarks, brand logos, and trade names of third-party OEMs (including Karam, Bosch, Makita, DeWalt, and others) belong to their respective proprietary trademark holders and are utilized strictly in an authorized distributor capacity. No license, express or implied, is granted to reproduce, scrape, or redistribute these assets without prior written authorization.

10

Limitation of Liability & Force Majeure

To the maximum extent permissible under the statutory laws of Saudi Arabia:

  • Direct Liability Cap: Future Source’s aggregate financial liability arising out of or in connection with any supply contract, regardless of the legal theory, shall be strictly capped at the net purchase price actually paid by the Buyer for the specific item of equipment giving rise to the claim.
  • Consequential Damages Waiver: Under no circumstances shall Future Source be liable for indirect, incidental, punitive, or consequential damages, including loss of anticipated project profits, construction liquidated damages (LDs), downtime costs, or site stoppage expenses.
  • Force Majeure: Neither party shall be held liable for failure or delay in performance resulting from causes beyond reasonable commercial control, including but not limited to acts of God, sandstorms or extreme atmospheric disturbances, customs border closures, port congestion, sovereign regulatory embargos, or state-ordered civil defense shutdowns.
11

Governing Law & Dispute Resolution (Saudi Courts)

These Terms, and all commercial transactions, quotations, and disputes arising hereunder, shall be governed by, construed, and enforced in accordance with the Commercial Laws, Royal Decrees, and Regulations of the Kingdom of Saudi Arabia.

In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the parties shall first endeavor in good faith to resolve the matter amicably through executive negotiations within thirty (30) calendar days.

Failing an amicable resolution, the dispute shall be submitted to the exclusive jurisdiction and venue of the competent Commercial Courts in Jeddah, Kingdom of Saudi Arabia.
